Key responsibilities include:
Contract Drafting & Negotiation Support
- Assist with negotiations and drafting of energy offtake agreements (e.g., PPAs), heads of terms, and related commercial contracts.
- Review and amend EPC, O&M, and financing agreements.
- Prepare tailored internal policy documents and governance frameworks.
Regulatory & Licensing Support
- Assist with applications for generation and trading licenses.
- Handle amendments to DCUoSA and liaise with regulatory bodies (e.g., NERSA, Eskom).
- Advise on compliance with environmental, water, and energy legislation.
Legal Advisory
- Provide legal opinions on matters related to project development, finance, and sustainability.
- Support stakeholder negotiations and roundtable discussions.
- Advise on risk mitigation and contract structuring from a business partner perspective.
Project Support
- Compile key issues lists and manage suspensive condition checklists.
- Liaise with foreign counsel and oversee documentation for international transactions.
- Support arbitration and tribunal matters involving regulatory authorities.
- Transactional Due Diligence
- Assist with legal due diligence for project acquisitions, joint ventures, and corporate transactions, including review of title, permitting, and land rights.
- Corporate Structuring & Joint Ventures
- Support the structuring and establishment of project companies, joint ventures, and consortia, including drafting/review of shareholder and joint venture agreements.
- Dispute Resolution & Claims Management
- Assist with management of commercial disputes, claims, and settlement negotiations, including early identification of potential contentious issues.
- Market & Regulatory Monitoring
- Monitor and report on regulatory and market developments affecting commercial agreements and project viability.
Education & Experience
- LLB degree and admission as an Attorney of the High Court of South Africa.
- 1–2 years post-admission experience in corporate/commercial law, preferably with exposure to energy or infrastructure projects.
- Experience in renewable energy, project finance, or regulatory law is highly advantageous.

- Proficient in the use of Word, Excel, and Outlook

- Typing accuracy and efficiency controls.
- Driver’s License
